Terms of Business

The following terms of business apply to all of our work for clients, except where alternative terms are explicitly agreed.

What we agree to do

We will provide the services as agreed between Theodorsen HR Specialists and our client. We will do this honestly, competently and diligently and to a high professional standard.

Limit of our services

Theodorsen HR Specialists are not lawyers. As registered Industrial Agents we are permitted to provide some advice and services that otherwise may only be provided by an Australian legal practitioner, as provided for in section 12(2) of the Legal Profession Act 2008 (WA). However, we will not provide general legal advice, and will only advise in relation to industrial matters as defined in section 7 of the Industrial Relations Act 1979 (WA).

Fees

Our fees are based on an hourly rate, unless otherwise agreed. The hourly rate for a project will be confirmed by us in writing before commencing a project, and we will provide an estimate of the number of hours required to complete the project.

Disbursements

We will only incur disbursements with our client’s prior approval. Any disbursements will be charged at cost.

Protection of Client Information

We will not, except as authorised by our client or as required by our agreement or by an applicable State or Commonwealth law, use for our own benefit or gain or divulge to any persons, firm, company or other organisation whatsoever any confidential information belonging to our clients or relating to our clients’ affairs or dealings, or the affairs or dealings of their clients which may come to our knowledge in the course of our engagement.

Invoicing and payment terms

We will provide an invoice at the end of each month or as otherwise agreed. Our invoice will clearly set out the nature and cost of the services provided. Where fees are charged on an hourly rate, the invoice will be clearly itemised to show the time allocated to specific tasks.

Our payment terms are 30 days from the invoice date unless otherwise agreed.

Insurances

Theodorsen HR Specialists maintains the following insurances:

  • Legal liability, including:

    • Public liability ($5 million)

    • Coverage for property in care, custody and control ($250,000)

    • Product liability ($5 million)

    • Professional Indemnity ($1 million any one claim, $2 million aggregate)

  • Workers Compensation for Working Directors, Employees and Contractors

  • Business insurance for our own assets that might be used at clients’ premises (e.g. portable computers)

Termination of Services

Where services are provided by us on an on-going basis, the services agreement may be terminated at any time by giving one month’s notice in writing to us. If the agreement is terminated in this way, our client is liable only for work that is undertaken in accordance with the agreement up until the date of termination.
